Charter of the 5GDNA

 

Chapter I General Principles

 

Article 1 The 5GDNA was established on June 26, 2019, 5G DNA is short for 5G Deterministic Networking Alliance. Based on the ultra-distributed architecture of the native cloud, 5G deterministic networks use key technologies such as super-performance heterogeneous MEC and dynamic intelligent network slicing to meet differentiated network requirements and deterministic SLA in the industry and enable thousands of industries.

Article 2 The Alliance is a cross-industry, open, and non-profit social organization formed by enterprises, institutions, mass organizations, universities, and research institutes related to 5G deterministic networks and applications on a voluntary, equal, mutually beneficial, and cooperative basis.

Article 3 The alliance aims to gather the strengths of the industry, promote communication and in-depth cooperation between related entities, promote interconnection between supply and demand and knowledge sharing, jointly build a 5G deterministic network industry ecosystem, and effectively promote the development of the 5G deterministic network industry towards business success.

 

Chapter II Tasks and Contents of the Alliance

 

Article 4 As a platform for the cooperation and promotion of 5G deterministic networks, the Alliance focuses on gathering resources of all parties in the industry, and jointly commits itself to 5G industry insights, requirements and architectures involving 5G deterministic networks, standards, products, solutions, and application promotion to create a good cooperation atmosphere and collaboration mechanism, promote the prosperity of the 5G industry ecosystem.

Article 5 The mission of the alliance is to gather the forces of all parties in the industry ecosystem, jointly conduct research on the technologies, standards, business, and industry of 5G deterministic networks and applications, jointly explore new models and mechanisms, promote the R&D of technologies, industries, and applications, carry out pilot demonstration, and form a global cooperation platform.

Article 6 The main tasks of the Alliance are as follows:

(1) Analyze related application requirements, summarize industry information, sort out key industry requirements by analyzing different 5G application scenarios, and output the technical architecture.

(2) Incubate innovative solutions, promote the formulation of test specifications and standards related to product interoperability, and develop industry solutions.

(3) Carry out industry innovation, promote technical product verification, application innovation, and business model exploration, and build influential industry showcase projects.

(4) Carry out research on related standards and regulations and promote standardization, and output research results to Chinese and international technical standard organizations to form standards, so as to promote the integration and development of communications standards and industry standards.

(5) Carry out market promotion activities and form linkage with related industry organizations to build a 5G deterministic network industry consensus and promote the development of the industry market space.

 

Chapter III Alliance Memberships

 

Article 7 The Alliance shall be composed of unit members.

Article 8 Members applying for membership of the alliance shall meet the following conditions

(1) Enterprises, institutions, mass organizations, institutions of higher learning, and scientific research institutes that are registered according to law;

(2) Support the constitution of the alliance;

(3) Have a certain influence in its field;

(4) Perform their obligations as members and take an active part in activities.

Article 9 The application procedure for membership is:

(1) Submit an application for membership to the secretariat of the Alliance;

(2) Initial review by the League Secretariat and report to the Council;

(3) Consideration and adoption by the Council;

(4) Become a member of the Alliance after fulfilling the corresponding procedures.

Article 10 The membership of alliance shall be classified as follows:

Board Membership (Platinum): The board member is assumed by a founding member. The member promises not to proactively exit the alliance within three years. If the member does not proactively exit the alliance, the member can automatically obtain the board member qualification of the next year. The new board member should be unanimously agreed by the current board member.

Senior Membership (Gold): Two board members are required to nominate a senior member. The member can become a senior member after being approved by at least two thirds of the board members. The term of office is two years.

Entry Membership (Silver): Enterprises can apply to become entry member after the approval of the Secretariat.

Article 11 Members of the alliance shall enjoy the following rights respectively:

Entry membership:

(1) May participate in meetings of the Alliance open to all its member organizations;

(2) May participate in the regular meetings of each working group;

(3) Access to staged working papers and officially published standard texts;

Senior Membership:

In addition to enjoying all the rights of the above - mentioned entry membership,

(1) Apply to initiate a test joint innovation project and submit it to the Board Members for review.

(2) The applicant can apply for initiating a work group and submit related proposals.

(3) Attend communication and discussion meetings organized by the alliance.

(4) Prioritize opportunities for presentation in the outreach activities of the Alliance;

Board Membership:

In addition to enjoying all the rights of the above - mentioned Senior Membership,

  1. Nominations may be made for the President, Deputy-President, Secretary-General and Deputy Secretary-General;

(2) May apply for the establishment of a new workgroup;

(3) Organize special communication meetings.

(4) Preferentially recommend the person in charge of the working group.

 

Article 12 Unit Members shall designate fixed persons to represent them in the Union. At least one of the unit member's representatives shall be the authorized representative of the unit, who shall carry out activities in the alliance on behalf of the unit member. If a member needs to change its member entity due to major organizational changes such as mergers and acquisitions, it shall submit an explanation to the Council and apply for a member change. The Council shall review and decide on the application.

Article 13 Members shall perform the following obligations:

(1) Comply with the alliance charter and execute the alliance resolution.

(2) Actively participate in alliance activities and take the initiative to undertake and complete all tasks assigned by the alliance.

(3) To strive to maintain the unity within the Alliance, attract more industry partners to join the Alliance, and jointly maintain the overall image and good reputation of the Alliance;

(4) To maintain the secrets of the Union and the technical and commercial secrets of other members of the Union;

(5) Designate a person to liaise with the League Secretariat for the day-to-day work;

(6) Pay the annual fee to the Alliance in full and on time.

Article 14 The board member shall submit a written document to the Council of the League 60 days in advance when withdrawing from the meeting. Other members shall submit written documents to the Alliance Secretariat 60 days before their withdrawal from the Alliance, destroy all confidential documents and materials obtained from the Alliance upon their withdrawal from the Alliance, and return all tangible assets borrowed from the Alliance. Members shall continue to bear the responsibility of maintaining confidentiality after their withdrawal from the Alliance.

Article 15 Any member who seriously violates the Articles of Association shall be removed from the membership upon the approval of the Council by vote.

Article 16 Within 30 days after the Council has voted on the de-listing, the de-listed member may lodge a complaint and, after deliberation by the Council, resume the membership or maintain the resolution on the de-listing.

 

Chapter IV Alliance Organization

 

Article 17 The organizational structure of the alliance shall include the General Assembly, the Council, the Committee of Experts, the Working Group and the Secretariat under the Council. The highest authority of the alliance is the Council.

Article 18 All members of the Alliance shall be members of the General Assembly of the Alliance. The main functions and powers of the General Assembly are as follows:

(1) Review of the charter of the Alliance;

(2) To review the development plans and guidelines of the Alliance;

(3) Consideration of the report of the Council on its work;

(4) To decide on the alteration and termination of the Union;

Article 19 A general meeting can be held only when at least two thirds of the members (or representatives of the members) are present, and its resolution takes effect only after more than half of the members present have voted on it.

Article 20 Meetings of the Council shall be held twice a year on a regular basis. The President may convene an interim meeting of the Council when necessary. At least two thirds of the board members must attend the board meeting. In special cases, the board meeting can be held remotely. The resolution of the League requires an affirmative vote of more than half of the seats on the Council of the Whole.

Article 21 The main functions and powers of the Council shall be:

(1) Plan and execute key tasks such as the alliance strategy.

(2) Nominating, electing, appointing and removing the President, Deputy-President, the Secretary-General and the Deputy Secretary-General;

(3) Decide on the appointment of the Committee of Experts;

(4) Discussion, formulation and decision-making on the annual key work of the Alliance;

(5) To consider and make decisions on the establishment of working groups, the organization of candidates, and major proposals submitted by working groups and members;

(6) Review and make decisions on the draft financial budget for the current year and the draft financial final statement for the previous year, and decide on the annual fee for the current year;

(7) Supervising and directing the work of the secretariat of the Alliance and hearing and considering reports on the work of the secretariat;

(8) Consideration of and decision-making on other significant matters.

Article 22 The Council of the alliance shall be composed of representatives of the board members. The president and Deputy-president of the alliance shall be elected by the Council. According to the needs of the alliance development, the Deputy-president can be co-elected, and the number of co-elected members shall be determined by the Council.

Article 23 The members of an expert committee shall be selected and appointed by the Council, and shall be composed of well-known technical experts, management experts, economic experts and policy research experts in relevant industries. Their main functions and powers are as follows:

(1) Provide professional advice and guidance for the development of the alliance and decision-making on major issues.

(2) Propose proposals for initiating major alliance research projects, and take charge of technical control of the demonstration and review of major alliance projects.

(3) Advising on decision-making in the Council.

(4) Provide expert and advisory advice to members of the Alliance.

Article 24 The Council shall have a Secretariat as its daily office, a Secretary-General and a Deputy Secretary-General, and a Secretary-General responsibility system under the leadership of the President. Its main functions are:

(1) To implement the resolutions of the Council and be responsible for organizing, managing and coordinating the work of the Alliance;

(2) To be responsible for the preparation and convening of the General Meeting and the meetings of the Council;

(3) Draft the annual work plan of the alliance and organize the implementation.

(4) To be responsible for the acceptance of applications for joining and withdrawing from the alliance;

(5) Organize the project cooperation between the alliance and the government, enterprises, and other organizations.

(6) Collaborate with the market promotion and cooperation team to carry out media publicity, exhibition promotion, communication, and discussion.

(7) To be responsible for handling other matters assigned by the General Meeting or the Council.

Article 25 The alliance may establish branches and representative offices, and its work shall be subject to the management and supervision of the alliance.

 

Chapter V Financial Asset Management and Use

 

Article 26 The sources of funds of the Union shall be:

(1) Membership fee

(2) Social donations and subsidies

(3) Revenue from technical activities or services carried out within the scope of the approved business

(4) Interest

(5) Other lawful income

Article 27 The membership fee standards of the alliance shall be reviewed annually by the Council, and the member units shall pay the annual fee in full and on time according to the standards. The current criteria for contributions are as follows:

Board member: CNY200,000/year;

Senior member: CNY50,000/year;

Entry member: free of charge.

Article 28 The funds of the alliance shall be used to cover the daily office expenses of the Secretariat and other expenses of the alliance.

Article 29 Funds shall be managed by the Secretariat of the Alliance in a unified manner, and shall be separately accounted for by the units affiliated to the Secretariat, shall not be used beyond the scope stipulated by the Alliance.

Article 30 The assets of the Alliance shall be managed in accordance with the financial management system prescribed by the State, and shall be subject to the supervision of the Council, the financial department and the audit department.

Article 31 No unit or individual may appropriate, privately divide or misappropriate the assets of the Alliance.

Article 32 The Secretariat shall submit the list of funds used and the financial audit report to the General Assembly on an annual basis.

Article 33 The ownership and use of the intellectual property rights and standards formed in the activities of the Alliance shall comply with the relevant laws, regulations and regulations of the State and the resolutions adopted by the Council.

 

Chapter VI Intellectual Property

 

Article 34 The Alliance respects the intellectual property rights of its members and understands and supports their actions to protect intellectual property rights in accordance with the law. Members shall not be obliged to transfer intellectual property rights to the Alliance, its members or third parties by reason of their participation in any of the activities of the Alliance, unless otherwise expressly agreed in writing by the Members or by written agreement with interested parties.

Article 35 The name, logo, website, and other intellectual property rights of the Alliance belong to the Alliance and shall be shared by all its members. Members shall use these intangible assets in accordance with the relevant provisions of the Alliance.

 

Chapter VII Termination Procedure and Disposal of Property after Termination

 

Article 36 The Council shall propose a motion for termination if the Union has fulfilled its purposes or dissolved itself.

Article 37 The motion for termination of the Alliance shall be voted through by the General Meeting.

Article 38 Before the termination of the Alliance, a liquidation organization shall be set up under the guidance of the relevant organs to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 39 The remaining property after the termination of the Alliance shall be disposed of in accordance with the resolution of the Council.

 

Chapter VIII Supplementary Principles

 

Article 40 This Charter has been approved by the first general assembly of the 5GDNA.

Article 41 Amendments to the present Statutes shall take effect upon adoption by at least two thirds of the members of the Council.

Article 42 The final interpretation of this Charter shall be vested in the 5GDNA Council.
